Miller Johnson is seeking an Entry-Level Associate to join our Corporate, Mergers & Acquisitions Practice Group in our Chicago Office. This role is ideal for current 3L law students, recent law school graduates, or early-career attorneys who are eager to begin their legal careers working on sophisticated transactions, taking on meaningful responsibility early, and growing within a collaborative, down-to-earth, and high-performing team.
Our Corporate & M&A group advises clients ranging from emerging companies to established middle-market businesses, handling matters that span the entire lifecycle of corporate transactions. Associates in this group receive substantive work, direct client exposure, tailored mentorship, and a clear path for long-term development. You will work closely with members and other attorneys on a wide variety of transactional matters and become an integral part of our deal teams.
Key Responsibilities
- Draft and review transaction documents, including NDAs, LOIs, purchase agreements, and ancillary agreements
- Assist with due diligence, including review of contracts, governance documents, and financial materials
- Help manage deal timelines, closing checklists, and communication among internal and external teams
- Draft and revise corporate governance documents (operating agreements, bylaws, shareholder agreements, resolutions)
- Support entity formation, restructurings, and ongoing corporate maintenance
- Collaborate directly with clients to gather information, ensure compliance, and deliver practical, business-focused solutions
- Work seamlessly with attorneys across practice groups (i.e., Tax, Employment, Real Estate, Litigation) to support clients’ multifaceted needs
- Demonstrate professionalism, clear communication, initiative, integrity, and a commitment to excellence consistent with firm values
Qualifications
- J.D. from an accredited law school (current 3Ls, recent graduates, or early-career attorneys encouraged to apply)
- Demonstrated interest in corporate and transactional work (courses, internships, clinics, journals, or legal experience)
- Excellent legal research, analytical, and drafting abilities
- Strong communication skills and exceptional attention to detail
- Ability to manage multiple projects, stay organized, and meet deadlines in a fast-paced environment
- Collaborative mindset and eagerness to grow within a supportive team
- Licensed (or eligible for licensure) to practice law in Michigan
